Terms of Use

1. Service

Pinbay is POS and digital payment software for merchants. It lets a shop take orders and process digital-dollar payments in one system.

Pinbay is non-custodial. It is not a bank, money transmitter, or custodian. Pinbay does not hold customer or merchant funds. Settled funds go to the merchant’s wallet (typically a Coinbase wallet, USDC on Base).

2. License

An active monthly software license is required to use POS. Unless otherwise agreed in writing, 1 license = 1 tablet.

3. Merchant responsibilities

The merchant is responsible for:

• Accurate business information
• Custody and correctness of their settlement wallet (Pinbay does not hold private keys)
• Legal, tax, and regulatory compliance of their business
• Team PINs, staff access, and device security
• Not using Pinbay for unlawful activity

4. Fees

Pinbay’s platform fee on each confirmed sale is 0%. There are no hidden Pinbay platform fees.

The monthly software license is as agreed. The standard rate is $699/mo.

Network gas and third-party onramp or card fees (for example, Coinbase) may apply. Those are charged by the network or provider under their terms, not as Pinbay platform fees.

5. Payments & confirmations

Payment status comes from the blockchain and, for card flows, from third-party onramp providers. A payment is confirmed when those systems report a successful settlement to the merchant wallet.

Charges may expire if they are not completed in time. An expired charge is not a completed sale.

6. Availability

Pinbay depends on blockchain networks, RPC providers, hosting, and third parties. We do not guarantee 100% uptime or uninterrupted service.

7. Limitation of liability

The service is provided “as is.” To the fullest extent permitted by law, Pinbay is not liable for lost profits, lost data, or indirect damages. Our aggregate liability is limited to the license fees paid in the prior 3 months.

8. Termination

Licenses are month-to-month unless otherwise agreed. Pinbay may suspend or terminate access for abuse, no active license, or legal risk.

9. Governing law

These terms are governed by the laws of the State of Florida, USA.
