1. Service

Pinbay is POS and digital payment software for merchants. It lets a business take orders, accept digital-dollar payments, and record cash payments in one system.

Pinbay is non-custodial. Pinbay is not a bank and does not hold or custody merchant funds. Customer payments go directly to the wallet address the merchant configures. Cash payments are received and kept by the merchant directly; Pinbay never handles cash.

2. Subscription and pricing

Pinbay is offered as one all-inclusive monthly subscription. It includes POS, Quick Pay, shifts, team management, expense tracking, and documents. The merchant provides and finances its own tablet. Pinbay does not supply hardware.

Free trial: new merchants get a 15-day free trial. The first contract covers only the free trial and everything the system includes during it. The trial does not convert to a paid subscription automatically, and nothing is billed when it ends. To continue after the trial, the merchant signs a new contract with Pinbay at the applicable price below.

Pricing: both tiers include the same all-inclusive system, with no feature differences. The tier depends on the merchant’s confirmed sales in Pinbay each month.

• Pinbay Starter: $249/month. For any business with confirmed sales in Pinbay of $25,000 per month or less.
• Pinbay Business: $699/month. For businesses with confirmed sales in Pinbay over $25,000 per month.

Launch offer: the first 250 market entrepreneurs keep $249/month locked with no expiry, even if their confirmed sales in Pinbay later exceed $25,000 per month, provided they sign a 12-month contract and renew it each year without interruption. Merchants may instead subscribe month to month at $249/month, without the price lock. A merchant who cancels a 12-month contract before it ends loses the locked price and its launch offer spot. No early-termination fee applies.

The price and features that apply are the ones shown at signup or set out in a later written agreement with Pinbay. Pinbay may improve or change features over time.

3. Fees

Pinbay’s platform fee on confirmed sales is 0%. Pinbay does not take a percentage of your sales, and there are no hidden Pinbay fees beyond your monthly subscription price. The 0% platform fee also applies to cash payments: Pinbay charges no fee on cash sales recorded in Pinbay.

Third parties may charge their own fees under their own terms. For example, blockchain networks charge network (gas) fees. Those fees are set and collected by the third party. They are not Pinbay fees.

4. Billing and cancellation

This section applies to paid subscriptions under a new contract signed after the free trial. The free trial is never billed. Paid subscriptions are billed monthly under either a 12-month contract or a month-to-month plan. A month-to-month plan has no minimum term and may be cancelled at any time, effective at the end of the current billing period. A 12-month contract may also be cancelled early with no penalty fee; the only consequence is the loss of the launch offer price lock described in section 2. Fees already paid for the current period are not refunded unless required by law.

5. Onboarding assistance

Pinbay may guide you in creating a wallet and in using third-party platforms, including Coinbase, so your business can receive USDC or USDT. That guidance is setup help. It is not custody, account management, or a payment guarantee.

You own the account, the wallet, and the credentials. You create them in your name. Pinbay does not open the account for you, does not hold your funds, and does not store your seed phrase, private key, exchange password, or API secret.

A third-party platform may reject an account, limit a feature, or close access. Pinbay does not control that decision.

This guidance is not investment advice, legal advice, tax advice, or a bank account. You are responsible for securing the wallet and for complying with the third-party platform’s terms.

6. Merchant responsibilities

The merchant is responsible for:

• Accurate business information
• Control and correctness of their receiving wallet address (Pinbay does not hold merchant funds)
• Legal, tax, and regulatory compliance of their business
• Team PINs, staff access, and device security
• Cash it receives, and the accuracy of cash payments and drawer counts recorded in Pinbay
• Not using Pinbay for unlawful activity

7. Payments and confirmations

Customers may pay in USDC or USDT on the Base network by scanning the merchant’s wallet QR code, which sends the payment directly from the customer’s wallet to the merchant’s wallet, or in cash where the merchant accepts it. Pinbay never holds these funds. Pinbay marks an on-chain payment as confirmed when it detects a matching transfer to that wallet on the Base network. Confirmation times depend on the network and on the providers Pinbay uses to read it.

Pinbay does not accept or process card payments.

Cash payments. Merchants may record cash payments in the POS and in Quick Pay. Cash is received, held, and handled by the merchant directly. Pinbay does not process, hold, collect, or verify cash, and does not guarantee that the amount recorded matches the cash actually received. A cash payment is recorded as paid when the merchant’s staff confirm it in Pinbay. Recorded cash sales, cash drawer counts, and drawer closes appear in the merchant’s reports for the merchant’s own records. The merchant is responsible for the accuracy of those records, for safeguarding its cash, and for reconciling its drawer.

Charges may expire if they are not completed in time. An expired charge is not a completed sale.

8. Availability

Pinbay depends on hosting and third-party providers. We do not guarantee 100% uptime or uninterrupted service.

9. Limitation of liability

The service is provided “as is.” To the fullest extent permitted by law, Pinbay is not liable for lost profits, lost data, or indirect damages. Our aggregate liability is limited to the subscription fees paid in the prior 3 months.

10. Termination

Pinbay may suspend or terminate access for abuse, an unpaid or inactive subscription, or legal risk.

11. Governing law

These terms are governed by the laws of the State of Florida, USA.
